BIMP Beta Terms and Conditions

1. Definitions

  • Agreement means these Beta Terms and Conditions.
  • Beta Service means the pre-release version of the BIMP software-as-a-service platform, including any related services, features and documentation made available to you for evaluation purposes.
  • Company, we, us or our means Pendrica Ltd, a company registered in England and Wales under number 16552167, with its registered office at 66 Paul Street, London, EC2A 4NA.
  • Feedback means any suggestions, ideas, improvements, bug reports or other feedback you provide regarding the Beta Service.
  • Participant, you or your means the individual accepting this Agreement and participating in the beta.
  • Third-Party Service means any third-party service that you connect to or use with the Beta Service.

You participate in the beta solely in your personal capacity and not as an employee, agent or representative of any company or other organisation.

2. The Beta Service

The Beta Service is a pre-release product provided for testing and evaluation purposes only. It is provided on an as-is and as-available basis.

We make no commitments regarding availability, performance or reliability and provide no service level agreement, uptime guarantee or support obligation. We may modify or suspend the Beta Service at any time. We may discontinue the beta in accordance with section 8.

3. Account access and authentication

To access the Beta Service, you may be required to create an account or authenticate using a Third-Party Service. Your account is personal to you and must not be shared. You are responsible for keeping your account credentials confidential and for activity under your account. You must notify us promptly of any unauthorised use of your account.

Where you authenticate through a Third-Party Service, you authorise us to access and use the account information required to create and manage your BIMP account. Our handling of personal data is described in the BIMP Beta Privacy Policy.

4. Third-Party Service connections

You may choose to connect the Beta Service to Third-Party Services. The permissions requested, the actions BIMP can perform and relevant credential information are described in the BIMP integration documentation.

By connecting a Third-Party Service, you authorise BIMP to access information and perform the actions described in that documentation. You confirm that you own the connected account or have permission from its owner to connect it and grant the requested access.

You may disconnect a Third-Party Service or revoke BIMP's access at any time through BIMP or the relevant Third-Party Service. Some Beta Service features may stop working after access is revoked.

5. Permitted and acceptable use

You agree to use the Beta Service solely for your own evaluation and testing. You must not:

  • reverse engineer, decompile or otherwise attempt to discover the source code of the Beta Service;
  • connect any private or otherwise non-public repository owned or controlled by your employer, a company or another organisation;
  • introduce viruses, trojan horses, worms or other malicious code into the Beta Service; or
  • use the Beta Service to store or transmit infringing, unlawful or harmful material.

You may connect repositories that you personally own and publicly accessible repositories, including work-related repositories. You are responsible for deciding whether a repository is suitable for use with the Beta Service, maintaining appropriate backups, and reviewing and testing any changes before using or deploying them.

You connect and use repositories with the Beta Service at your own risk, subject to the limitations of liability in section 10.

6. Confidentiality

We will treat non-public information accessed through your connected repositories as confidential. We will use it only to provide, maintain and secure the Beta Service, and will disclose it only to people and service providers who need it for those purposes and are subject to appropriate confidentiality obligations.

You must not connect a repository or submit information owned or controlled by a company or other organisation unless it has expressly authorised you to do so.

This obligation does not apply to information that is already public, that we lawfully receive without a confidentiality obligation, or that we are required by law to disclose.

7. Suspension of service

We may suspend or terminate your access to the Beta Service immediately if you breach this Agreement. We may also suspend access to perform maintenance, address a security issue or comply with legal requirements.

8. Ending the beta, data deletion and migration

We will provide at least 30 days’ notice before ending the beta program. At the end of that notice period, we will disable access to the Beta Service.

We do not guarantee that data from the Beta Service will be migrated to any future commercial or production version of BIMP. You may need to re-enter data if you later use a commercial version.

Our handling of personal data is described in the BIMP Beta Privacy Policy and, where applicable, the BIMP Beta Data Processing Addendum.

9. Intellectual property and feedback

We retain all right, title and interest in and to the Beta Service and its related intellectual property.

If you provide Feedback, you grant Pendrica Ltd a perpetual, irrevocable, worldwide, royalty-free, fully paid-up licence to use, modify and incorporate that Feedback into our products and services without obligation or compensation to you.

Any Feedback you provide represents your own views and is not provided on behalf of, or attributable to, any company or organisation.

10. Disclaimers and mutual limitation of liability

To the fullest extent permitted by law, the Beta Service is provided without warranties of any kind, whether express, implied or statutory.

Neither party will be liable to the other for any indirect or consequential loss, or for any loss of profit, revenue, use, goodwill or data, arising out of or relating to this Agreement.

Each party's total aggregate liability to the other arising out of or relating to this Agreement will not exceed £1000.

Nothing in this Agreement excludes or limits either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing in this Agreement affects any statutory rights you may have that cannot lawfully be excluded or limited.

11. Governing law and jurisdiction

This Agreement and any non-contractual obligations arising from it are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
